Terms and conditions

imedia solutions inc. is a producer, publisher and supplier of media communication products and services.

When imedia solutions inc. is hired by an end user or client for the provision of products and/or services, consulting and support, this relationship will be governed by the Terms and Conditions outlined below.

1) Quotations

Quotation details may vary depending on the size and nature of the project. Standard quotation details are as follows:
a. Products: Quotations for the provision of products will be based on the estimated cost of all aspects of product production.

b. Services: Quotations for the provision of services will be based on either an estimated cost to fulfill a service obligation or an hourly rate.

2) Service

Ongoing client service which may not be outlined in a quotation includes production, telephone, email support, is provided as required and documented in 15 minute increments. Special client rate applies.
imedia solutions inc. hourly rates are as follows: $80.00 per hour or $500.00 per day (based on an 7-hour day).

Quotations will be in effect for 30 days from date of submission.

3) Payment Terms
Payment terms may vary depending on the size and the nature of the project. Standard payment terms are as follows:

a. Product and Service - Flat fee
50% of the total cost is to be paid upon acceptance by the client of the imedia solutions inc. estimate. 50% of the total cost is to be paid upon delivery of the final product. Invoicing will occur at each stipulated point in the proposal, to be paid upon receipt.

b. Services - Hourly rate
Invoices, detailing the total hours spent on a specific project will be submitted on a weekly basis, to be paid upon receipt.

c. Monthly Service Contract
Invoices, detailing the total hours spent on a specific project will be submitted on a weekly basis, to be paid upon receipt..

4) Expenses
When imedia solutions inc. is hired on a flat fee basis for the provision of products or service obligation, all anticipated expenses, such as meetings, travel and allowances, will be factored into the initial estimate submitted with the proposal.
When imedia solutions inc. is hired on an hourly basis, all expenses are billed in addition to the hourly rate as follows:
a. Transportation by car or airplane
b. Hotel accommodation required, all associated expenses, charged at cost
c. Images, animation, audio file purchased specifically for the project. Costs for licensing royalty-free images range from $165. to $495. per image
d. Courier and delivery charges
e. Fonts. If specific fonts are required, they will be purchased
f. Colour prints and proofs
g. Materials required for production or proofing

Quotations will not include:
- Applicable taxes
- Any changes to the product after prototype/proof approval - these will be billed at $107.50 per hour.

5) Billing Procedures
imedia solutions inc. will bill the client directly. Any changes to the billing procedure must be agreed upon, in writing, by both the client and imedia solutions inc.

6) Coding, Technology, Product Development
When imedia solutions inc. is hired to provide a software product, imedia solutions inc. reserves the right to use “freeware” code and will comply with all requirements regarding the copywriting of any “freeware” code utilized.

imedia solutions inc. retains original copyrights to works. Underlying works such as text, fonts, logos, charts and photographs may continue to be the property of the original copyright owner and therefore permission from such copyright owners may be required in certain circumstances.

7) Print & Graphics Production Assumptions
FORMATS
Full colour CMYK, screen RGB or black and white.
ELECTRONIC ASSEMBLY
Proofs will be supplied as .pdf files.
FILE PREPARATION AND FORMATS
QuarkXpress 6.5 + or InDesign CS4 file with high resolution images in position. Support files and fonts may be packaged and burned to CD, or uploaded to an ftp site.
Adobe Creative Studio, Photoshop, Acrobat and Dreamweaver HTML supported.

8) Acceptance of Terms and Conditions

Once the project has commenced there will be no changes to the agreed terms without the joint written approval of imedia solutions inc. and the client.
Written acceptance of any imedia solutions inc. Proposal represents an acceptance of the Terms and Conditions outlined above.
